Client Contract
1.
This CLICKBANK CLIENT CONTRACT (the "Agreement") constitutes a legally binding agreement between Click Sales Inc., a Delaware corporation ("ClickBank") and you ("You" or "Your"). BY CHECKING THE BOX STATING THAT YOU HAVE READ AND AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT AS PART OF YOUR REGISTRATION WITH CLICKBANK, YOU AGREE AND CONSENT TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT FOR AS LONG AS YOU USE THE CLICKBANK SERVICES.
Subject to the terms and conditions of this Agreement, ClickBank hereby grants to You a non-exclusive, revocable, right and license, without right to sublicense, to use ClickBank's proprietary online platform, including without limitation the website made available at www.clickbank.com, and any servers, computers or networks used to provide such website (the "ClickBank Services") for the following limited purposes, if and as applicable, INCLUDING ANY CHANGES TO THIS AGREEMENT OR ADDITIONAL POLICIES INCORPORATED BY REFERENCE WHICH CLICKBANK MAY MAKE IN ITS SOLE DISCRETION IN THE FUTURE. In the event you transfer your account or ownership of any product, any purchasers or assignees are bound by the terms of this Agreement.
In addition to any other rights or remedies afforded ClickBank under or otherwise in connection with this Contract, You agree and acknowledge that You have read and agree to comply with the following policies which are hereby incorporated by reference into, and made a part of, this Agreement:

2.
PROMOTING PRODUCTS. If You promote, market or otherwise advertise ("Promote" or a "Promotion") any product which is registered for sale via the ClickBank Services, either by You or by another ClickBank client (each a "Product"), whether via the Clickbank Services or via any other online or offline channel or medium for the purpose of earning a percentage of the sale price of any Product sold as a result of such Promotion ("Commissions"), You agree, acknowledge, represent and warrant that:
1. You will not suggest or imply any warranty or other policy with respect to any Products other than ClickBank's Return and Cancellation policy without the prior written consent of CLICKBANK, which ClickBank may withhold in its sole discretion for any reason.
2. You will not make any unlicensed or unauthorized use of or otherwise infringe or misappropriate any materials protected by any patent, copyright, trademark, trade secret, right of privacy, right of publicity or other intellectual property or other proprietary right ("IP Rights").
3. You will not interfere with ClickBank's tracking of Commissions, or with the normal flow of traffic to, through, or from the ClickBank Services.
4. All communications and/or representations made by You in connection with any Promotions and/or in relation to any Product will be accurate and contain all disclosures and disclaimers necessary to prevent such Promotions from being false or deceptive. Such disclosures and disclaimers must be made in a clear and conspicuous manner, and will otherwise comply with Your country's laws and all U.S. federal and state laws, including U.S. Federal Trade Commission regulations, policies and guidelines governing advertising, disclosure and consumer protection, including the FTCs endorsement rules.
5. You will not offer, suggest or imply the availability of any rebates, coupons, tickets, vouchers or similar incentives to induce or encourage the purchase of a Product.
6. ClickBank reserves the right, but not the obligation, to review your Promotions. You agree that ClickBank, in its sole discretion and at any time, may demand changes to product promotion and delivery pages, customer support or other items related to the content of Your Promotions.
7. You will provide valid contact information, including but not limited to a working email address and phone number, where ClickBank can send inquiries and receive a non-automated reply by end of the following business day.
8. ClickBank does not guarantee, or assume any responsibility or liability for, the accuracy, completeness, efficacy, or timeliness of any such information nor is it responsible for any bonuses, prizes or other incentives offered by Vendors in the "Vendor Spotlight." Your use of any information presented by a Vendor is voluntary, and your reliance is at your own risk. ClickBank does not independently review or verify information that Vendors submit to the Vendor Spotlight for accuracy, completeness, efficacy or timeliness. You acknowledge and understand that ClickBank does not verify statements, claims, incentives or promotions made by Vendors in the "Vendor Spotlight."
3.
SELLING PRODUCTS. If You register any Products for sale via the ClickBank Services, You agree, acknowledge, represent and warrant that:
1. All Products You register for sale via the ClickBank Services, and the offering and sale thereof via the ClickBank Services, comply with all of Your country's laws and all applicable U.S. federal and state laws and regulations.
2. The Product does not involve the downloading of software on a Purchaser's computer unless a purchase is completed or You provide the Purchaser a clear and conspicuous disclosure describing all of the software being downloaded, its functionality and obtain express consent prior to any such downloads.
3. Without further conditions or limitations, You authorize ClickBank to list any Product You register for sale via the ClickBank Services in the online, searchable marketplace of Products made available via the ClickBank Services (the "ClickBank Marketplace"); and make it available for sale to Purchasers and/or for Affiliates to Promote at the price designated by ClickBank ("Retail Price") after taking into consideration Your suggestions regarding such Retail Price, including any applicable sales tax.
4. ClickBank may delist any Product from the ClickBank Marketplace and/or the ClickBank Services at any time, in its sole discretion, without cause or notice to You or any penalty or liability for doing so.
5. You will provide valid email addresses to which Purchasers or ClickBank can send inquiries and receive a reply by end of the following business day. Purchasers and ClickBank must also be able to receive a non-automated response within one business day, when necessary.
6. You will advise ClickBank of any regulatory or legal complaints, or threats of such complaints, that You receive in connection with or relation to such Product You receive from any person, company or entity who purchased such Product or received a Promotion in connection with such Product within two business days of Your receipt of such complaint. You shall assist ClickBank, at Your sole cost and expense, in taking any steps and actions, as necessary and appropriate, or as reasonably requested by ClickBank to respond to and/or resolve such complaints.
7. For any retail transaction involving a physical product, ClickBank will collect and remit state or local transfer taxes (including but not limited to sales or use tax) where it is legally required to do so. Where ClickBank does not collect and remit state or local transfer taxes on a transaction, it is possible that you will have the legal obligation to pay such taxes. Under the laws of a state, such obligation may arise as a result of: (1) your existing or past physical contacts with that state; and (2) your provision of a "drop ship" delivery of the physical product to a buyer located in that state. You may wish to consult a tax professional to determine if you will have this type of obligation in any particular state. You agree that if such an obligation arises with respect to any particular state, you will be solely responsible for the timely payment of such tax. You further agree that if such an obligation arises, and you do not timely pay such tax, you will be solely responsible for any resulting tax, interest and penalties.
8. If you use the Vendor Spotlight platform provided by ClickBank to communicate with affiliates about your products, you agree that all statements, opinions, announcements or messages communicated by you via the Vendor Spotlight constitute Promotions under this Agreement and are subject to all of the applicable terms, conditions, restrictions and obligations thereto. Additionally, and without limiting any other restriction contained herein, you will not use the Vendor Spotlight to: (i) make any false or deceptive statement or claim regarding your Product or sales of your Product; (ii) offer any promotions or incentives to Affiliates unless you intend to fulfill such promotions or incentives; (iii) offer any promotions or incentives to Affiliates unless you affirmatively state that they are offered only by you and not by ClickBank; or (iv) suggest in any way, whether express or implied, that your Product(s) are endorsed, approved or sponsored by ClickBank in any way. ClickBank reserves the right to suspend your ability to use the Vendor Spotlight at any time. You agree that your indemnification obligations under Section 11 below apply to any use by you of the Vendor Spotlight.
4.
SENDING EMAILS. If You send, or cause to be sent, any messages or communications by electronic means, including but not limited to email and instant messages ("Emails") in connection with the direct or indirect Promotion or sale of any Product and/or Your use of the ClickBank Services, then You agree, acknowledge, represent and warrant that all such Emails shall be in full-compliance with all applicable federal and state laws and regulations regarding the use of electronic messages, including without limitation the Controlling the Assault of Non-Solicited Pornography and Marketing Act of 2003 ("CAN-SPAM Act") and the Children's Online Privacy Protection Act of 2000 ("COPPA"). (Information on these laws can be found at www.ftc.gov/spam/ and http://www.ftc.gov/coppa/). Without limiting the generality of the foregoing, You shall not directly or indirectly:
1. Send, initiate or procure the sending of an Email to any Person who has either not explicitly requested to receive such messages specifically from You, including without limitation for the purposes of sending unsolicited bulk email, executing any "mass mailings" or "email blasts," or for the purpose of spamming any public forum, including without limitation, any blog, message board, classified listings, auction sites, altnet, newsnet, newsgroups, or similar service.
2. Send, initiate or procure the sending of an Email to any Person who has explicitly requested to receive no further Emails from You or Your company.
3. Employ any false or deceptive information regarding Your identity, or regarding the intent, subject, or origin of the message or fail to include accurate information regarding Your identity, and the intent, subject, and origin of the Email.
4. Employ any incomplete, invalid, deceptive, fake, or forged message headers.
5. Use any mousetraps or windows that reappear, spawn new windows or otherwise resist being closed.
6. Exploit documented or undocumented security holes on any client or server machine.
7. Fail to (i) include clear, valid, and conspicuously displayed "From" and "Subject" lines in the Email, (ii) include a functioning return address (or hyperlink) in the Email that enables the recipient to submit a request to receive no further messages from You ("Opt Out Request") for no less than 30 days from the date the Email was sent; or (iii) honor any Opt-out Request within 10 days of receipt of such Opt-out request by You.
8. Obtain email addresses via automated means or send any Email to any address which was obtained via automated means, including via the automated combination of names, letters, or numbers, dictionary attacks, or the use of spyware, viruses, or other means of bypassing system security or invading consumer privacy.
9. Send any Email from, or make such Email appear to have been sent from, any address that was obtained via the use of scripts or other automated means to register for multiple electronic mail accounts or online user accounts from which to transmit unsolicited or misleading email messages.
10. Send or relay any Email from any protected computer or network accessed without authorization.
11. Employ any fraudulent, deceptive, false or misleading information in connection with the Emails.
12. Send any commercial marketing Email or Promotion to, or collect any personally identifiable information from, any person who is under 18 years of age.
5.
SUSPENSION; TERMINATION. You agree and acknowledge that:
1. ClickBank, in its sole discretion, may suspend Your account(s) or hold any or all funds in Your ClickBank account if ClickBank suspects or has reason to believe and/or if a Person otherwise claims that You have been involved with any of the following:
1. Illegal activity, including but not limited to, consumer fraud, bank fraud, credit card fraud, spamming or other illicit commercial activities or any other activity which violates any federal, state, local or foreign constitution, treaty, law, statute, ordinance, rule, code, regulation, interpretation, directive, policy, order, writ, decree, injunction, judgment, opinion, ruling, decision, permit, license, registration and other operating authorizations, or any other requirement of, any federal, state, local or foreign government, legislature, governmental or administrative agency or commission, any self-regulatory association or authority, any court or other tribunal of competent jurisdiction, or any other municipality, governmental authority or instrumentality or quasi-governmental entity or authority, whether currently in effect or hereafter enacted or amended ("Law");
2. Violation or infringement of any Person's rights, including without limitation, any IP Rights;
3. Misrepresenting, over-promising, making false, deceptive or misleading statements or any other acts in violation of federal or state law affecting consumer protection and commercial activities;
4. A breach of any term of this Agreement, including, without limitation, any representation, warranty or covenant made by You in this Agreement; and
5. Otherwise violating ClickBank rules or policies or interfering with ClickBank's business, including ClickBank's Vendor and Products Requirements Policy.
2. Following the suspension of an account or holding of funds per this Section 5, ClickBank will review Your account. You acknowledge that this review will be conducted in a manner decided by ClickBank at its sole discretion. You agree to cooperate with this review. If the review concludes that there is a reasonable basis to believe misconduct has occurred, You agree that ClickBank may seize and/or retain funds in Your ClickBank account as liquidated damages and/or for the benefit of third parties affected by the misconduct. You acknowledge and agree that the such liquidated damages: (a) are not a penalty, and (b) are reasonable and not disproportionate to such presumed damages to ClickBank.
3. You understand that ClickBank may also temporarily hold any portion of the funds in Your ClickBank account if ClickBank, in its sole discretion, determines such action is needed to secure payment for, performance of, and/or assurances regarding any liabilities, obligations, or indebtedness You may incur with ClickBank or any other Person.
4. You agree and understand that ClickBank's right to take any of the actions set forth in this Section 5 does not constitute a right or obligation to take them for the benefit of any third parties, including You.
5. You agree and acknowledge that ClickBank may also pursue other remedies as allowed by Law.
6. In addition to the foregoing, and in addition to all other rights and remedies available to ClickBank at Law or in equity and notwithstanding anything in the Agreement to the contrary, in the event You breach any term of this Agreement, upon notice to You (which may be sent by email), ClickBank will have the right to immediately terminate this Agreement and Your rights to access, use and/or otherwise participate in the ClickBank Services. Upon such termination, You agree to immediately cease all use of the ClickBank Services. Without limiting the foregoing, ClickBank shall have the right to immediately terminate Your access and use of the ClickBank Services, or any portion thereof, in the event of any conduct which ClickBank, in its sole discretion, considers to be unacceptable. The provisions of this Section, in addition to any provisions, which by their nature, are intended to survive, shall survive the termination of this Agreement.
6.
CLICKBANK'S IP RIGHTS.
1. You shall not use ClickBank's name, trademarks, service marks or any other IP Right of ClickBank in any manner whatsoever to suggest association or affiliation with or endorsement by ClickBank without the express prior written consent of ClickBank, which ClickBank may withhold at its sole discretion. Promotional use of images or reproductions of Payment checks issued by ClickBank without the express, written consent of ClickBank is prohibited. For the avoidance of doubt, the foregoing prohibition applies to any use of the Vendor Spotlight.
2. Subject to the following terms and conditions, ClickBank grants You a limited, revocable license to use ClickBank's name: (i) as a watermark, Internet search engine description, keyword, search term or seeding element with any Internet search engines or keyword-triggered advertising programs; (ii) in metatags or hidden text, or (iii) as a sub domain or second or third level domain name identifier:
1. ClickBank may revoke the foregoing license and/or provide restrictions upon Your use of ClickBank's name, including requiring the use of such disclaimers as Clickbank may provide, in connection with Your use of ClickBank's name, at anytime and for any reason in ClickBank's sole discretion.
2. Failure to comply with any restrictions imposed by ClickBank upon Your use of ClickBank's name or failure by You to immediately cease all use of ClickBank's name if so instructed by ClickBank shall constitute (1) a breach of the limited license set forth in this Section 6(b); and (2) a breach of this Agreement. In such case, ClickBank reserves the right to pursue any and all remedies available to it at Law or in equity.
3. Notwithstanding the limited revocable license set forth in Section 6(b) above, as between the parties, ClickBank shall be and remain the sole owner of all right, title and interest in and to the ClickBank Services (including, without limitation, all IP Rights therein) and any other IP Rights, materials or other properties owned, licensed or controlled by ClickBank, and You hereby assign to ClickBank all right, title and interest You may be deemed to have therein. Subject to the limited rights expressly granted in this Agreement, ClickBank reserves all right, title and interest in and to the ClickBank Services (including, without limitation, all IP Rights therein) and any other IP Rights, materials or other properties owned, licensed or controlled by ClickBank. All rights not specifically granted to You under this Agreement are expressly reserved by ClickBank.
7.
CONFIDENTIALITY & NON-DISCLOSURE OBLIGATIONS.
1. In connection with this Agreement, ClickBank may disclose to You and/or You may otherwise receive or have access to sensitive, confidential, and/or proprietary information of ClickBank (collectively, "Confidential Information"), including, but not limited to (a) the identities of other Vendors or Affiliates of ClickBank (collectively, "ClickBank Clients"); (b) physical and data security information; (c) technical data; (d) ClickBank Marketplace statistics and sales data; and/or (e) know-how or business information relating to business processes, methods, or marketing strategies. Except as required to perform Your obligations under and in accordance with the terms of this Agreement, You shall not (i) disclose the Confidential Information to any Person, or (ii) use the Confidential Information (whether for Your own benefit or the benefit of any other Person), without the express prior written consent of ClickBank. You shall not use any Confidential Information for the purpose of soliciting, or to permit any others to solicit, ClickBank Clients to subscribe to any other services or promote the sale of any product which competes, either directly or indirectly, with ClickBank or the ClickBank Services, including without limitation the functionality offered by the ClickBank Marketplace. You agree and acknowledge that ClickBank may be required to provide to governmental agencies or other third parties information in its possession regarding You or the business You conduct with ClickBank.
2. ClickBank does not invite and cannot accept any ideas or information You consider to be confidential and/or proprietary. Except with respect to Your personally identifiable information (as expressly provided for in the ClickBank Privacy Policy), any suggestions, submissions, comments, ideas, concepts, know-how, techniques material or feedback conveyed, offered or transmitted by You to ClickBank, or otherwise in connection with the ClickBank Services (collectively, the "Submissions"), shall be deemed to be non-confidential and non-proprietary and ClickBank shall have no obligation of any kind with respect to such Submissions, unless otherwise expressly agreed to in a writing executed and delivered by You and a duly authorized officer of ClickBank. You hereby grant to ClickBank and its licensees a worldwide, perpetual, non-exclusive, fully-paid, royalty-free, transferable right and license, with right to sublicense, to reproduce, publicly display, distribute, and perform, transmit, edit, modify, create derivatives works of, publish, sell, commercially exploit, use, and disclose the Submissions for any purpose and in all forms and all media whether now known or to become known in the future. ClickBank shall have no obligation to compensate You for any such Submissions in any manner. You hereby represent and warrant that: (a) You own or otherwise have the right to grant the foregoing license to ClickBank with respect to Your Submissions; (b) Your Submissions and any use thereof by ClickBank will not infringe or violate the rights of any Person (including any IP Rights); and (c) Your Submissions will not contain any unlawful, threatening, abusive, false, libelous, defamatory, obscene, pornographic, profane, or otherwise infringing or objectionable content or material of any kind. You are and shall remain solely responsible for the content of any Submissions You make and acknowledge that ClickBank is under no obligation to respond to or use any Submission You may provide.
8.
EXPORT CONTROL. You acknowledge and agree to comply with all applicable export Laws, including the U.S. Export Administration Act, the Arms Export Control Act, the International Economic Emergency Powers Act, and the Foreign Corrupt Practices Act; and regulations issued pursuant to these and other U.S. Laws. You hereby represent and warrant that any Product promoted, offered and/or provided by You via the ClickBank Services is approved for export from the United States without additional authorization or licensing from the U.S. government. Should the export authorization status of Your Products change, You agree to immediately notify ClickBank in writing. For Your convenience, information on U.S. export control regulations can be found at the web pages for the Commerce Department (http://www.bis.doc.gov), the State Department (http://www.pmddtc.state.gov) and the U.S. Treasury Department ( http://www.treas.gov/offices/enforcement/ofac/index.shtml).
9.
REQUIRED PERMITS. You assume sole responsibility for obtaining and maintaining all relevant and necessary licenses and permits associated with the legal operation of Your business.
10.
REPRESENTATIONS AND WARRANTIES. You represent, acknowledge and warrant that:
1. You, Your Products and/or Your Promotions, as applicable, do not and will not, directly or indirectly: (i) invade the right of privacy or publicity of any Person; (ii) contain any libelous, obscene, indecent or otherwise unlawful material; (iii) infringe any IP Rights in any jurisdiction or otherwise contravene any rights of any Person; or (iv) violate any Law.
2. You shall not: (i) frame, copy or mirror any content forming part of the ClickBank Services; (ii) reverse engineer of the ClickBank Services or otherwise attempt to derive its source materials; (iii) access the ClickBank Services for the purpose of (A) building a competitive product or service, or (B) copy any features, functions or graphics of the ClickBank Services; (iv) interfere with or disrupt the ClickBank Services or any data contained therein; (v) attempt to gain unauthorized access to the ClickBank Services, its related systems or networks; or (vi) use the ClickBank Services for any unlawful purpose or in violation of the rights of any Person.
11.
INDEMNIFICATION. To the fullest extent permitted by Law, You agree that
1. In the event that a Party commences any action or files any claim whatsoever ("Claim") in connection with Your use of the ClickBank Services, Product, Promotion or use of the Vendor Spotlight, You shall defend, indemnify and hold harmless ClickBank, its related parties and affiliates, and its officers, directors, employees, representatives, agents, licensors, attorneys, heirs, successors, and assignees (the "ClickBank Parties"), from and against any and all damages, liabilities, claims or costs (including, without limitation, the costs of investigation and defense and reasonable attorneys' fees and litigation and court costs) ("Losses") incurred by any ClickBank Party as a result of such Claim, regardless of whether such Losses are direct, incidental, consequential, punitive or statutory.
2. Upon receiving notice of any Claim for which ClickBank is entitled to indemnification by You, ClickBank shall provide You with written notification and opportunity to assume sole control over the defense or settlement of the Claim and reasonable assistance to settle and/or defend the Claim at Your sole expense; provided, however, that (i) any settlement which would impose an unindemnified monetary obligation on and/or admission or finding of liability or wrongdoing by ClickBank will require ClickBank's prior express written consent; and (ii) failure to provide timely notice, control, or assistance shall not relieve You of Your obligations; and (iii) ClickBank may have its own counsel present at and participating in all proceedings or negotiations relating to a Claim, at ClickBank's own expense, unless You fail or refuse to secure legal counsel to defend any Claim in a timely manner, in which case You shall pay all expenses related to ClickBank's use of such counsel.
3. In the event that ClickBank incurs costs, attorneys' fees or other expenses responding to any complaint other than a Claim, in connection with or relation to Your Products or Promotions, including complaints under the DMCA, ClickBank reserves the right, in its sole discretion, to recover such costs and expenses by deducting a reasonable, commensurate amount from any monies owed to You by ClickBank up to a maximum of $5000 per event. You authorize, and release ClickBank from any liability in connection with, such deductions.
12.
LIMITATION OF LIABILITY. IN NO EVENT SHALL ANY CLICKBANK PARTY, OR ITS HEIRS, SUCCESSORS AND ASSIGNS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF, RESULTING FROM, OR IN CONNECTION WITH THIS AGREEMENT AND/OR ANY (A) USE OF OR INABILITY TO USE THE CLICKBANK SERVICES, (B) PERSONAL INJURY, PROPERTY DAMAGE, OR LOSSES OF ANY KIND WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND/OR USE OF THE CLICKBANK SERVICES, (C) UNAUTHORIZED ACCESS TO OR USE OF ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (D) INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE CLICKBANK SERVICES, AND/OR (E) BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH THE CLICKBANK SERVICES, WHETHER OR NOT CLICKBANK IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING HEREIN TO THE CONTRARY, THE MAXIMUM CUMULATIVE AND AGGREGATE LIABILITY OF CLICKBANK FOR ALL COSTS, LOSSES OR DAMAGES FROM CLAIMS ARISING UNDER OR RELATED IN ANY WAY TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT OR OTHERWISE, SHALL NOT EXCEED AN AMOUNT EQUAL TO THE TOTAL AMOUNTS DUE AND PAYABLE BY CLICKBANK TO YOU UNDER THIS AGREEMENT FOR THE MONTH IMMEDIATELY PRECEDING THE DATE UPON WHICH SUCH DAMAGES ACCRUE. THE LIMITATION OF LIABILITY HEREIN IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN AND REFLECTS A FAIR ALLOCATION OF RISK. THE CLICKBANK SERVICES, AND ANY SERVICES OR INFORMATION OFFERED THROUGH THE CLICKBANK SERVICES, WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS AND YOU AGREE THAT THE LIMITATIONS OF LIABILITY AND DISCLAIMERS SPECIFIED HEREIN WILL SURVIVE AND APPLY EVEN IF FOUND TO HAVE FAILED OF THEIR ESSENTIAL PURPOSE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN CATEGORIES OF DAMAGES, IN SUCH JURISDICTIONS, YOU AGREE THAT THE LIABILITY OF CLICKBANK SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY SUCH JURISDICTION.
13.
GENERAL TERMS AND CONDITIONS.
1. Governing Law; Dispute Resolution. You agree that Idaho law will govern this Agreement, other than such laws, rules, regulations and case law that would result in the application of the laws of a jurisdiction other than the State of Idaho, and that any action, suit, proceeding, or claim arising out of or related to this Agreement must be brought exclusively in federal or state courts located in Boise, Idaho. You hereby submit to the in personam jurisdiction and venue of such courts and waive any objection based on inconvenient forum. YOU HEREBY IRREVOCABLY WAIVE ANY AND ALL RIGHT TO TRIAL BY JURY IN ANY ACTION, SUIT, PROCEEDING, CLAIM OR COUNTERCLAIM ARISING UNDER OR IN RELATION TO THIS AGREEMENT.
2. English is Governing Language. This Agreement is in English and all and all disputes between the parties shall be resolved in English. You understand and acknowledge that any foreign language services provided by ClickBank are for informational purposes only and it is your obligation to obtain independent legal advice at your own expense to ensure you understand the terms of this Agreement.
3. Our Relationship. This Agreement does not create any relationship of principal and agent, partners, joint venturers, employer and employee, fiduciary or similar relationship between the parties. You agree that any content stored on ClickBank's servers in relation to any Products registered by You via the ClickBank Services is solely at Your direction and nothing contained in this Agreement nor in Your use of the ClickBank Services, shall be construed as shifting responsibility for such publication to ClickBank. You are not authorized to make any promise, warranty or representation on behalf of ClickBank or obligate or attempt to obligate ClickBank in any manner whatsoever. You shall not represent to any person that You are the agent of ClickBank, nor fail to correct any misunderstanding as to such status.
4. Assignment. ClickBank may freely assign or transfer any or all of the rights and obligations described under this Agreement without Your consent and without notice to You. You may not assign this Agreement or any of Your rights and duties hereunder without the prior written consent of ClickBank. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns.
5. Severability. If any provision of this Agreement is declared or determined by any court to be unenforceable or invalid: (i) the validity of the remaining parts, terms or provisions shall not be affected by that determination; (ii) the unenforceable or invalid part, term or provision shall not be deemed to be part of this Agreement; and (iii) such court may substitute a provision that is legal and enforceable and is as nearly as possible consistent with the intentions underlying the original provision. If the remainder of this Agreement is not materially affected by such declaration or finding and is capable of substantial performance, then the remainder shall be enforced to the extent permitted by applicable law.
6. Publicity. You shall not issue or make any publicity release (including press releases and advertising or solicitation materials) or other public statement: (i) relating to this Agreement; (ii) using ClickBank's name or referencing the ClickBank Services; or (iii) suggesting or implying any endorsement by ClickBank of You and/or any Products without the prior written approval of ClickBank, which ClickBank may withhold at its sole discretion.
7. Entire Agreement; Amendment. This Agreement constitutes the complete and exclusive agreement between the parties relating to the subject matter hereof. It supersedes all prior proposals, understandings and all other agreements, oral and written, between the parties relating to this subject matter. ClickBank reserves the right to amend this Agreement at any time. When ClickBank amends this Agreement, ClickBank shall make reasonable efforts to provide You with general, not specific, notice of such changes by posting a conspicuous announcement at www.clickbank.com that; (i) such changes or amendments have occurred; and (ii) identifying which particular provisions have changed. Such announcement shall be maintained for no less than 30 days following the effective date of such amendment. Your continued use of the ClickBank Services, following the posting of such amendment will signify and be deemed Your assent to and acceptance of the revised Agreement. You agree that You have the burden to periodically review www.clickbank.com to inform Yourself of any such changes.
8. Waiver. The waiver or failure by ClickBank to exercise any right provided for herein will not be deemed a waiver of any further right hereunder. The rights and remedies of ClickBank set-forth in this Agreement are cumulative and are in addition to any rights or remedies ClickBank may otherwise have at law or equity, except with respect to any sole and exclusive remedies expressly provided for herein.
9. Equitable Actions. You acknowledge and agree that any breach or threatened breach of this Agreement may cause immediate and irreparable harm to ClickBank which would not be adequately and fully compensated by money damages and that ClickBank may seek injunctive relief, specific performance, and/or other equitable relief as a remedy for any such breach or anticipated breach without the necessity of posting a bond or other security. Notwithstanding any other provision of this Agreement, any such relief may be sought in the state or federal courts of the State of Idaho or any other court of competent jurisdiction anywhere in the world (at ClickBank's sole discretion), and, You hereby consent to the jurisdiction of any such court and waive any objection to venue laid therein. Any such relief shall be in addition to and not in lieu of any appropriate relief in the way of monetary damages.
10. Force Majeure. ClickBank shall not be responsible for delays or failures in performance resulting from acts of God, strikes, lockouts, riots, acts of war and terrorism, embargoes, boycotts, changes in governmental regulations, epidemics, fire, communication line failures, power failures, earthquakes, other disasters or any other reason where failure to perform is beyond the control of, and not caused by, ClickBank.
11. Notices. Except as otherwise expressly provided herein, any notice, request, approval, authorization, consent, demand or other communication required or permitted to be given or made pursuant to this Agreement shall be in writing and shall be deemed given on the earliest of: (i) actual receipt, irrespective of the method of delivery; (ii) the time of transmission from ClickBank if sent via email, as date stamped by ClickBank's systems; (iii) on the delivery day following dispatch if sent by express mail (or similar next day air courier service); or (iv) on the sixth (6th) day after mailing by registered or certified United States mail, return receipt requested, postage prepaid and addressed to the last address provided by a party.
12. Headings/Interpretation. The table of contents and the descriptive headings are for convenience only and shall not control or affect the meaning or construction of any provision of this Agreement.
DISCLAIMER. YOU ASSUME ALL RISK AND RESPONSIBILITY FOR YOUR DECISION TO USE THE CLICKBANK SERVICES. THE CLICKBANK SERVICES AND ALL RELATED SERVICES ARE OFFERED "AS IS" AND CLICKBANK DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

This CLICKBANK CLIENT CONTRACT (the "Agreement") constitutes a legally binding agreement between Click Sales Inc., a Delaware corporation ("ClickBank") and you ("You" or "Your"). BY CHECKING THE BOX STATING THAT YOU HAVE READ AND AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT AS PART OF YOUR REGISTRATION WITH CLICKBANK, YOU AGREE AND CONSENT TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT FOR AS LONG AS YOU USE THE CLICKBANK SERVICES.
Subject to the terms and conditions of this Agreement, ClickBank hereby grants to You a non-exclusive, revocable, right and license, without right to sublicense, to use ClickBank's proprietary online platform, including without limitation the website made available at www.clickbank.com, and any servers, computers or networks used to provide such website (the "ClickBank Services") for the following limited purposes, if and as applicable, INCLUDING ANY CHANGES TO THIS AGREEMENT OR ADDITIONAL POLICIES INCORPORATED BY REFERENCE WHICH CLICKBANK MAY MAKE IN ITS SOLE DISCRETION IN THE FUTURE. In the event you transfer your account or ownership of any product, any purchasers or assignees are bound by the terms of this Agreement.
In addition to any other rights or remedies afforded ClickBank under or otherwise in connection with this Contract, You agree and acknowledge that You have read and agree to comply with the following policies which are hereby incorporated by reference into, and made a part of, this Agreement:

2.
PROMOTING PRODUCTS. If You promote, market or otherwise advertise ("Promote" or a "Promotion") any product which is registered for sale via the ClickBank Services, either by You or by another ClickBank client (each a "Product"), whether via the Clickbank Services or via any other online or offline channel or medium for the purpose of earning a percentage of the sale price of any Product sold as a result of such Promotion ("Commissions"), You agree, acknowledge, represent and warrant that:
1. You will not suggest or imply any warranty or other policy with respect to any Products other than ClickBank's Return and Cancellation policy without the prior written consent of CLICKBANK, which ClickBank may withhold in its sole discretion for any reason.
2. You will not make any unlicensed or unauthorized use of or otherwise infringe or misappropriate any materials protected by any patent, copyright, trademark, trade secret, right of privacy, right of publicity or other intellectual property or other proprietary right ("IP Rights").
3. You will not interfere with ClickBank's tracking of Commissions, or with the normal flow of traffic to, through, or from the ClickBank Services.
4. All communications and/or representations made by You in connection with any Promotions and/or in relation to any Product will be accurate and contain all disclosures and disclaimers necessary to prevent such Promotions from being false or deceptive. Such disclosures and disclaimers must be made in a clear and conspicuous manner, and will otherwise comply with Your country's laws and all U.S. federal and state laws, including U.S. Federal Trade Commission regulations, policies and guidelines governing advertising, disclosure and consumer protection, including the FTCs endorsement rules.
5. You will not offer, suggest or imply the availability of any rebates, coupons, tickets, vouchers or similar incentives to induce or encourage the purchase of a Product.
6. ClickBank reserves the right, but not the obligation, to review your Promotions. You agree that ClickBank, in its sole discretion and at any time, may demand changes to product promotion and delivery pages, customer support or other items related to the content of Your Promotions.
7. You will provide valid contact information, including but not limited to a working email address and phone number, where ClickBank can send inquiries and receive a non-automated reply by end of the following business day.
8. ClickBank does not guarantee, or assume any responsibility or liability for, the accuracy, completeness, efficacy, or timeliness of any such information nor is it responsible for any bonuses, prizes or other incentives offered by Vendors in the "Vendor Spotlight." Your use of any information presented by a Vendor is voluntary, and your reliance is at your own risk. ClickBank does not independently review or verify information that Vendors submit to the Vendor Spotlight for accuracy, completeness, efficacy or timeliness. You acknowledge and understand that ClickBank does not verify statements, claims, incentives or promotions made by Vendors in the "Vendor Spotlight."
3.
SELLING PRODUCTS. If You register any Products for sale via the ClickBank Services, You agree, acknowledge, represent and warrant that:
1. All Products You register for sale via the ClickBank Services, and the offering and sale thereof via the ClickBank Services, comply with all of Your country's laws and all applicable U.S. federal and state laws and regulations.
2. The Product does not involve the downloading of software on a Purchaser's computer unless a purchase is completed or You provide the Purchaser a clear and conspicuous disclosure describing all of the software being downloaded, its functionality and obtain express consent prior to any such downloads.
3. Without further conditions or limitations, You authorize ClickBank to list any Product You register for sale via the ClickBank Services in the online, searchable marketplace of Products made available via the ClickBank Services (the "ClickBank Marketplace"); and make it available for sale to Purchasers and/or for Affiliates to Promote at the price designated by ClickBank ("Retail Price") after taking into consideration Your suggestions regarding such Retail Price, including any applicable sales tax.
4. ClickBank may delist any Product from the ClickBank Marketplace and/or the ClickBank Services at any time, in its sole discretion, without cause or notice to You or any penalty or liability for doing so.
5. You will provide valid email addresses to which Purchasers or ClickBank can send inquiries and receive a reply by end of the following business day. Purchasers and ClickBank must also be able to receive a non-automated response within one business day, when necessary.
6. You will advise ClickBank of any regulatory or legal complaints, or threats of such complaints, that You receive in connection with or relation to such Product You receive from any person, company or entity who purchased such Product or received a Promotion in connection with such Product within two business days of Your receipt of such complaint. You shall assist ClickBank, at Your sole cost and expense, in taking any steps and actions, as necessary and appropriate, or as reasonably requested by ClickBank to respond to and/or resolve such complaints.
7. For any retail transaction involving a physical product, ClickBank will collect and remit state or local transfer taxes (including but not limited to sales or use tax) where it is legally required to do so. Where ClickBank does not collect and remit state or local transfer taxes on a transaction, it is possible that you will have the legal obligation to pay such taxes. Under the laws of a state, such obligation may arise as a result of: (1) your existing or past physical contacts with that state; and (2) your provision of a "drop ship" delivery of the physical product to a buyer located in that state. You may wish to consult a tax professional to determine if you will have this type of obligation in any particular state. You agree that if such an obligation arises with respect to any particular state, you will be solely responsible for the timely payment of such tax. You further agree that if such an obligation arises, and you do not timely pay such tax, you will be solely responsible for any resulting tax, interest and penalties.
8. If you use the Vendor Spotlight platform provided by ClickBank to communicate with affiliates about your products, you agree that all statements, opinions, announcements or messages communicated by you via the Vendor Spotlight constitute Promotions under this Agreement and are subject to all of the applicable terms, conditions, restrictions and obligations thereto. Additionally, and without limiting any other restriction contained herein, you will not use the Vendor Spotlight to: (i) make any false or deceptive statement or claim regarding your Product or sales of your Product; (ii) offer any promotions or incentives to Affiliates unless you intend to fulfill such promotions or incentives; (iii) offer any promotions or incentives to Affiliates unless you affirmatively state that they are offered only by you and not by ClickBank; or (iv) suggest in any way, whether express or implied, that your Product(s) are endorsed, approved or sponsored by ClickBank in any way. ClickBank reserves the right to suspend your ability to use the Vendor Spotlight at any time. You agree that your indemnification obligations under Section 11 below apply to any use by you of the Vendor Spotlight.
4.
SENDING EMAILS. If You send, or cause to be sent, any messages or communications by electronic means, including but not limited to email and instant messages ("Emails") in connection with the direct or indirect Promotion or sale of any Product and/or Your use of the ClickBank Services, then You agree, acknowledge, represent and warrant that all such Emails shall be in full-compliance with all applicable federal and state laws and regulations regarding the use of electronic messages, including without limitation the Controlling the Assault of Non-Solicited Pornography and Marketing Act of 2003 ("CAN-SPAM Act") and the Children's Online Privacy Protection Act of 2000 ("COPPA"). (Information on these laws can be found at www.ftc.gov/spam/ and http://www.ftc.gov/coppa/). Without limiting the generality of the foregoing, You shall not directly or indirectly:
1. Send, initiate or procure the sending of an Email to any Person who has either not explicitly requested to receive such messages specifically from You, including without limitation for the purposes of sending unsolicited bulk email, executing any "mass mailings" or "email blasts," or for the purpose of spamming any public forum, including without limitation, any blog, message board, classified listings, auction sites, altnet, newsnet, newsgroups, or similar service.
2. Send, initiate or procure the sending of an Email to any Person who has explicitly requested to receive no further Emails from You or Your company.
3. Employ any false or deceptive information regarding Your identity, or regarding the intent, subject, or origin of the message or fail to include accurate information regarding Your identity, and the intent, subject, and origin of the Email.
4. Employ any incomplete, invalid, deceptive, fake, or forged message headers.
5. Use any mousetraps or windows that reappear, spawn new windows or otherwise resist being closed.
6. Exploit documented or undocumented security holes on any client or server machine.
7. Fail to (i) include clear, valid, and conspicuously displayed "From" and "Subject" lines in the Email, (ii) include a functioning return address (or hyperlink) in the Email that enables the recipient to submit a request to receive no further messages from You ("Opt Out Request") for no less than 30 days from the date the Email was sent; or (iii) honor any Opt-out Request within 10 days of receipt of such Opt-out request by You.
8. Obtain email addresses via automated means or send any Email to any address which was obtained via automated means, including via the automated combination of names, letters, or numbers, dictionary attacks, or the use of spyware, viruses, or other means of bypassing system security or invading consumer privacy.
9. Send any Email from, or make such Email appear to have been sent from, any address that was obtained via the use of scripts or other automated means to register for multiple electronic mail accounts or online user accounts from which to transmit unsolicited or misleading email messages.
10. Send or relay any Email from any protected computer or network accessed without authorization.
11. Employ any fraudulent, deceptive, false or misleading information in connection with the Emails.
12. Send any commercial marketing Email or Promotion to, or collect any personally identifiable information from, any person who is under 18 years of age.
5.
SUSPENSION; TERMINATION. You agree and acknowledge that:
1. ClickBank, in its sole discretion, may suspend Your account(s) or hold any or all funds in Your ClickBank account if ClickBank suspects or has reason to believe and/or if a Person otherwise claims that You have been involved with any of the following:
1. Illegal activity, including but not limited to, consumer fraud, bank fraud, credit card fraud, spamming or other illicit commercial activities or any other activity which violates any federal, state, local or foreign constitution, treaty, law, statute, ordinance, rule, code, regulation, interpretation, directive, policy, order, writ, decree, injunction, judgment, opinion, ruling, decision, permit, license, registration and other operating authorizations, or any other requirement of, any federal, state, local or foreign government, legislature, governmental or administrative agency or commission, any self-regulatory association or authority, any court or other tribunal of competent jurisdiction, or any other municipality, governmental authority or instrumentality or quasi-governmental entity or authority, whether currently in effect or hereafter enacted or amended ("Law");
2. Violation or infringement of any Person's rights, including without limitation, any IP Rights;
3. Misrepresenting, over-promising, making false, deceptive or misleading statements or any other acts in violation of federal or state law affecting consumer protection and commercial activities;
4. A breach of any term of this Agreement, including, without limitation, any representation, warranty or covenant made by You in this Agreement; and
5. Otherwise violating ClickBank rules or policies or interfering with ClickBank's business, including ClickBank's Vendor and Products Requirements Policy.
2. Following the suspension of an account or holding of funds per this Section 5, ClickBank will review Your account. You acknowledge that this review will be conducted in a manner decided by ClickBank at its sole discretion. You agree to cooperate with this review. If the review concludes that there is a reasonable basis to believe misconduct has occurred, You agree that ClickBank may seize and/or retain funds in Your ClickBank account as liquidated damages and/or for the benefit of third parties affected by the misconduct. You acknowledge and agree that the such liquidated damages: (a) are not a penalty, and (b) are reasonable and not disproportionate to such presumed damages to ClickBank.
3. You understand that ClickBank may also temporarily hold any portion of the funds in Your ClickBank account if ClickBank, in its sole discretion, determines such action is needed to secure payment for, performance of, and/or assurances regarding any liabilities, obligations, or indebtedness You may incur with ClickBank or any other Person.
4. You agree and understand that ClickBank's right to take any of the actions set forth in this Section 5 does not constitute a right or obligation to take them for the benefit of any third parties, including You.
5. You agree and acknowledge that ClickBank may also pursue other remedies as allowed by Law.
6. In addition to the foregoing, and in addition to all other rights and remedies available to ClickBank at Law or in equity and notwithstanding anything in the Agreement to the contrary, in the event You breach any term of this Agreement, upon notice to You (which may be sent by email), ClickBank will have the right to immediately terminate this Agreement and Your rights to access, use and/or otherwise participate in the ClickBank Services. Upon such termination, You agree to immediately cease all use of the ClickBank Services. Without limiting the foregoing, ClickBank shall have the right to immediately terminate Your access and use of the ClickBank Services, or any portion thereof, in the event of any conduct which ClickBank, in its sole discretion, considers to be unacceptable. The provisions of this Section, in addition to any provisions, which by their nature, are intended to survive, shall survive the termination of this Agreement.
6.
CLICKBANK'S IP RIGHTS.
1. You shall not use ClickBank's name, trademarks, service marks or any other IP Right of ClickBank in any manner whatsoever to suggest association or affiliation with or endorsement by ClickBank without the express prior written consent of ClickBank, which ClickBank may withhold at its sole discretion. Promotional use of images or reproductions of Payment checks issued by ClickBank without the express, written consent of ClickBank is prohibited. For the avoidance of doubt, the foregoing prohibition applies to any use of the Vendor Spotlight.
2. Subject to the following terms and conditions, ClickBank grants You a limited, revocable license to use ClickBank's name: (i) as a watermark, Internet search engine description, keyword, search term or seeding element with any Internet search engines or keyword-triggered advertising programs; (ii) in metatags or hidden text, or (iii) as a sub domain or second or third level domain name identifier:
1. ClickBank may revoke the foregoing license and/or provide restrictions upon Your use of ClickBank's name, including requiring the use of such disclaimers as Clickbank may provide, in connection with Your use of ClickBank's name, at anytime and for any reason in ClickBank's sole discretion.
2. Failure to comply with any restrictions imposed by ClickBank upon Your use of ClickBank's name or failure by You to immediately cease all use of ClickBank's name if so instructed by ClickBank shall constitute (1) a breach of the limited license set forth in this Section 6(b); and (2) a breach of this Agreement. In such case, ClickBank reserves the right to pursue any and all remedies available to it at Law or in equity.
3. Notwithstanding the limited revocable license set forth in Section 6(b) above, as between the parties, ClickBank shall be and remain the sole owner of all right, title and interest in and to the ClickBank Services (including, without limitation, all IP Rights therein) and any other IP Rights, materials or other properties owned, licensed or controlled by ClickBank, and You hereby assign to ClickBank all right, title and interest You may be deemed to have therein. Subject to the limited rights expressly granted in this Agreement, ClickBank reserves all right, title and interest in and to the ClickBank Services (including, without limitation, all IP Rights therein) and any other IP Rights, materials or other properties owned, licensed or controlled by ClickBank. All rights not specifically granted to You under this Agreement are expressly reserved by ClickBank.
7.
CONFIDENTIALITY & NON-DISCLOSURE OBLIGATIONS.
1. In connection with this Agreement, ClickBank may disclose to You and/or You may otherwise receive or have access to sensitive, confidential, and/or proprietary information of ClickBank (collectively, "Confidential Information"), including, but not limited to (a) the identities of other Vendors or Affiliates of ClickBank (collectively, "ClickBank Clients"); (b) physical and data security information; (c) technical data; (d) ClickBank Marketplace statistics and sales data; and/or (e) know-how or business information relating to business processes, methods, or marketing strategies. Except as required to perform Your obligations under and in accordance with the terms of this Agreement, You shall not (i) disclose the Confidential Information to any Person, or (ii) use the Confidential Information (whether for Your own benefit or the benefit of any other Person), without the express prior written consent of ClickBank. You shall not use any Confidential Information for the purpose of soliciting, or to permit any others to solicit, ClickBank Clients to subscribe to any other services or promote the sale of any product which competes, either directly or indirectly, with ClickBank or the ClickBank Services, including without limitation the functionality offered by the ClickBank Marketplace. You agree and acknowledge that ClickBank may be required to provide to governmental agencies or other third parties information in its possession regarding You or the business You conduct with ClickBank.
2. ClickBank does not invite and cannot accept any ideas or information You consider to be confidential and/or proprietary. Except with respect to Your personally identifiable information (as expressly provided for in the ClickBank Privacy Policy), any suggestions, submissions, comments, ideas, concepts, know-how, techniques material or feedback conveyed, offered or transmitted by You to ClickBank, or otherwise in connection with the ClickBank Services (collectively, the "Submissions"), shall be deemed to be non-confidential and non-proprietary and ClickBank shall have no obligation of any kind with respect to such Submissions, unless otherwise expressly agreed to in a writing executed and delivered by You and a duly authorized officer of ClickBank. You hereby grant to ClickBank and its licensees a worldwide, perpetual, non-exclusive, fully-paid, royalty-free, transferable right and license, with right to sublicense, to reproduce, publicly display, distribute, and perform, transmit, edit, modify, create derivatives works of, publish, sell, commercially exploit, use, and disclose the Submissions for any purpose and in all forms and all media whether now known or to become known in the future. ClickBank shall have no obligation to compensate You for any such Submissions in any manner. You hereby represent and warrant that: (a) You own or otherwise have the right to grant the foregoing license to ClickBank with respect to Your Submissions; (b) Your Submissions and any use thereof by ClickBank will not infringe or violate the rights of any Person (including any IP Rights); and (c) Your Submissions will not contain any unlawful, threatening, abusive, false, libelous, defamatory, obscene, pornographic, profane, or otherwise infringing or objectionable content or material of any kind. EXPORT CONTROL. You hereby represent and warrant that any Product promoted, offered and/or provided by You via the ClickBank Services is approved for export from the United States without additional authorization or licensing from the U.S. government. Should the export authorization status of Your Products change, You agree to immediately notify ClickBank in writing. For Your convenience, information on U.S. export control regulations can be found at the web pages for the Commerce Department (http://www.bis.doc.gov), the State Department (http://www.pmddtc.state.gov) and the U.S. Treasury Department ( http://www.treas.gov/offices/enforcement/ofac/index.shtml).

REQUIRED PERMITS. You assume sole responsibility for obtaining and maintaining all relevant and necessary licenses and permits associated with the legal operation of Your business.

REPRESENTATIONS AND WARRANTIES. You represent, acknowledge and warrant that:
1. You, Your Products and/or Your Promotions, as applicable, do not and will not, directly or indirectly: (i) invade the right of privacy or publicity of any Person; (ii) contain any libelous, obscene, indecent or otherwise unlawful material; (iii) infringe any IP Rights in any jurisdiction or otherwise contravene any rights of any Person; or (iv) violate any Law.
2. You shall not: (i) frame, copy or mirror any content forming part of the ClickBank Services; (ii) reverse engineer of the ClickBank Services or otherwise attempt to derive its source materials; (iii) access the ClickBank Services for the purpose of (A) building a competitive product or service, or (B) copy any features, functions or graphics of the ClickBank Services; (iv) interfere with or disrupt the ClickBank Services or any data contained therein; (v) attempt to gain unauthorized access to the ClickBank Services, its related systems or networks; or (vi) use the ClickBank Services for any unlawful purpose or in violation of the rights of any Person.
11.
INDEMNIFICATION. To the fullest extent permitted by Law, You agree that

In the event that a Party commences any action or files any claim whatsoever ("Claim") in connection with Your use of the ClickBank Services, Product, Promotion or use of the Vendor Spotlight, You shall defend, indemnify and hold harmless ClickBank, its related parties and affiliates, and its officers, directors, employees, representatives, agents, licensors, attorneys, heirs, successors, and assignees (the "ClickBank Parties"), from and against any and all damages, liabilities, claims or costs (including, without limitation, the costs of investigation and defense and reasonable attorneys' fees and litigation and court costs) ("Losses") incurred by any ClickBank Party as a result of such Claim, regardless of whether such Losses are direct, incidental, consequential, punitive or statutory.
2. Upon receiving notice of any Claim for which ClickBank is entitled to indemnification by You, ClickBank shall provide You with written notification and opportunity to assume sole control over the defense or settlement of the Claim and reasonable assistance to settle and/or defend the Claim at Your sole expense; provided, however, that (i) any settlement which would impose an unindemnified monetary obligation on and/or admission or finding of liability or wrongdoing by ClickBank will require ClickBank's prior express written consent; and (ii) failure to provide timely notice, control, or assistance shall not relieve You of Your obligations; and (iii) ClickBank may have its own counsel present at and participating in all proceedings or negotiations relating to a Claim, at ClickBank's own expense, unless You fail or refuse to secure legal counsel to defend any Claim in a timely manner, in which case You shall pay all expenses related to ClickBank's use of such counsel.
3. In the event that ClickBank incurs costs, attorneys' fees or other expenses responding to any complaint other than a Claim, in connection with or relation to Your Products or Promotions, including complaints under the DMCA, ClickBank reserves the right, in its sole discretion, to recover such costs and expenses by deducting a reasonable, commensurate amount from any monies owed to You by ClickBank up to a maximum of $5000 per event. You authorize, and release ClickBank from any liability in connection with, such deductions.

LIMITATION OF LIABILITY. IN NO EVENT SHALL ANY CLICKBANK PARTY, OR ITS HEIRS, SUCCESSORS AND ASSIGNS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF, RESULTING FROM, OR IN CONNECTION WITH THIS AGREEMENT AND/OR ANY (A) USE OF OR INABILITY TO USE THE CLICKBANK SERVICES, (B) PERSONAL INJURY, PROPERTY DAMAGE, OR LOSSES OF ANY KIND WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND/OR USE OF THE CLICKBANK SERVICES, (C) UNAUTHORIZED ACCESS TO OR USE OF ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (D) INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE CLICKBANK SERVICES, AND/OR (E) BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH THE CLICKBANK SERVICES, WHETHER OR NOT CLICKBANK IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING HEREIN TO THE CONTRARY, THE MAXIMUM CUMULATIVE AND AGGREGATE LIABILITY OF CLICKBANK FOR ALL COSTS, LOSSES OR DAMAGES FROM CLAIMS ARISING UNDER OR RELATED IN ANY WAY TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT OR OTHERWISE, SHALL NOT EXCEED AN AMOUNT EQUAL TO THE TOTAL AMOUNTS DUE AND PAYABLE BY CLICKBANK TO YOU UNDER THIS AGREEMENT FOR THE MONTH IMMEDIATELY PRECEDING THE DATE UPON WHICH SUCH DAMAGES ACCRUE. THE LIMITATION OF LIABILITY HEREIN IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN AND REFLECTS A FAIR ALLOCATION OF RISK. THE CLICKBANK SERVICES, AND ANY SERVICES OR INFORMATION OFFERED THROUGH THE CLICKBANK SERVICES, WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS AND YOU AGREE THAT THE LIMITATIONS OF LIABILITY AND DISCLAIMERS SPECIFIED HEREIN WILL SURVIVE AND APPLY EVEN IF FOUND TO HAVE FAILED OF THEIR ESSENTIAL PURPOSE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN CATEGORIES OF DAMAGES, IN SUCH JURISDICTIONS, YOU AGREE THAT THE LIABILITY OF CLICKBANK SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY SUCH JURISDICTION.
13.
GENERAL TERMS AND CONDITIONS.
1. Governing Law; Dispute Resolution. You agree that Idaho law will govern this Agreement, other than such laws, rules, regulations and case law that would result in the application of the laws of a jurisdiction other than the State of Idaho, and that any action, suit, proceeding, or claim arising out of or related to this Agreement must be brought exclusively in federal or state courts located in Boise, Idaho. You hereby submit to the in personam jurisdiction and venue of such courts and waive any objection based on inconvenient forum. YOU HEREBY IRREVOCABLY WAIVE ANY AND ALL RIGHT TO TRIAL BY JURY IN ANY ACTION, SUIT, PROCEEDING, CLAIM OR COUNTERCLAIM ARISING UNDER OR IN RELATION TO THIS AGREEMENT.
2. English is Governing Language. This Agreement is in English and all and all disputes between the parties shall be resolved in English. You understand and acknowledge that any foreign language services provided by ClickBank are for informational purposes only and it is your obligation to obtain independent legal advice at your own expense to ensure you understand the terms of this Agreement.
3. Our Relationship. This Agreement does not create any relationship of principal and agent, partners, joint venturers, employer and employee, fiduciary or similar relationship between the parties. You agree that any content stored on ClickBank's servers in relation to any Products registered by You via the ClickBank Services is solely at Your direction and nothing contained in this Agreement nor in Your use of the ClickBank Services, shall be construed as shifting responsibility for such publication to ClickBank. You are not authorized to make any promise, warranty or representation on behalf of ClickBank or obligate or attempt to obligate ClickBank in any manner whatsoever. You shall not represent to any person that You are the agent of ClickBank, nor fail to correct any misunderstanding as to such status.
4. Assignment. ClickBank may freely assign or transfer any or all of the rights and obligations described under this Agreement without Your consent and without notice to You. You may not assign this Agreement or any of Your rights and duties hereunder without the prior written consent of ClickBank. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns.
5. Severability. If any provision of this Agreement is declared or determined by any court to be unenforceable or invalid: (i) the validity of the remaining parts, terms or provisions shall not be affected by that determination; (ii) the unenforceable or invalid part, term or provision shall not be deemed to be part of this Agreement; and (iii) such court may substitute a provision that is legal and enforceable and is as nearly as possible consistent with the intentions underlying the original provision. If the remainder of this Agreement is not materially affected by such declaration or finding and is capable of substantial performance, then the remainder shall be enforced to the extent permitted by applicable law.
6. Publicity. You shall not issue or make any publicity release (including press releases and advertising or solicitation materials) or other public statement: (i) relating to this Agreement; (ii) using ClickBank's name or referencing the ClickBank Services; or (iii) suggesting or implying any endorsement by ClickBank of You and/or any Products without the prior written approval of ClickBank, which ClickBank may withhold at its sole discretion.
7. Entire Agreement; Amendment. This Agreement constitutes the complete and exclusive agreement between the parties relating to the subject matter hereof. It supersedes all prior proposals, understandings and all other agreements, oral and written, between the parties relating to this subject matter. ClickBank reserves the right to amend this Agreement at any time. When ClickBank amends this Agreement, ClickBank shall make reasonable efforts to provide You with general, not specific, notice of such changes by posting a conspicuous announcement at www.clickbank.com that; (i) such changes or amendments have occurred; and (ii) identifying which particular provisions have changed. Such announcement shall be maintained for no less than 30 days following the effective date of such amendment. Your continued use of the ClickBank Services, following the posting of such amendment will signify and be deemed Your assent to and acceptance of the revised Agreement. You agree that You have the burden to periodically review www.clickbank.com to inform Yourself of any such changes.
8. Waiver. The waiver or failure by ClickBank to exercise any right provided for herein will not be deemed a waiver of any further right hereunder. The rights and remedies of ClickBank set-forth in this Agreement are cumulative and are in addition to any rights or remedies ClickBank may otherwise have at law or equity, except with respect to any sole and exclusive remedies expressly provided for herein.
9. Equitable Actions. You acknowledge and agree that any breach or threatened breach of this Agreement may cause immediate and irreparable harm to ClickBank which would not be adequately and fully compensated by money damages and that ClickBank may seek injunctive relief, specific performance, and/or other equitable relief as a remedy for any such breach or anticipated breach without the necessity of posting a bond or other security. Notwithstanding any other provision of this Agreement, any such relief may be sought in the state or federal courts of the State of Idaho or any other court of competent jurisdiction anywhere in the world (at ClickBank's sole discretion), and, You hereby consent to the jurisdiction of any such court and waive any objection to venue laid therein. Any such relief shall be in addition to and not in lieu of any appropriate relief in the way of monetary damages.
10. Force Majeure. ClickBank shall not be responsible for delays or failures in performance resulting from acts of God, strikes, lockouts, riots, acts of war and terrorism, embargoes, boycotts, changes in governmental regulations, epidemics, fire, communication line failures, power failures, earthquakes, other disasters or any other reason where failure to perform is beyond the control of, and not caused by, ClickBank.
11. Notices. Except as otherwise expressly provided herein, any notice, request, approval, authorization, consent, demand or other communication required or permitted to be given or made pursuant to this Agreement shall be in writing and shall be deemed given on the earliest of: (i) actual receipt, irrespective of the method of delivery; (ii) the time of transmission from ClickBank if sent via email, as date stamped by ClickBank's systems; (iii) on the delivery day following dispatch if sent by express mail (or similar next day air courier service); or (iv) on the sixth (6th) day after mailing by registered or certified United States mail, return receipt requested, postage prepaid and addressed to the last address provided by a party.
12. Headings/Interpretation. The table of contents and the descriptive headings are for convenience only and shall not control or affect the meaning or construction of any provision of this Agreement.
DISCLAIMER. YOU ASSUME ALL RISK AND RESPONSIBILITY FOR YOUR DECISION TO USE THE CLICKBANK SERVICES. THE CLICKBANK SERVICES AND ALL RELATED SERVICES ARE OFFERED "AS IS" AND CLICKBANK DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Menurut kenyataan majlis itu, mengikuti perintah Allah dan meninggalkan segala persengketaan, mewujudkan keamanan sesama umat Islam dan dengan jiran, membersihkan diri daripada dosa dan mula mengamalkan prinsip kejiranan selain bermaaf-maafan menyebabkan penduduk Islam di negara tersebut akan mendapat keampunan Allah.
Menurut beberapa laporan, ibu bapa Ali yang tinggal di bandar Kizlyar di wilayah Dagestan dan kalangan imam tempatan mendakwa ayat suci al-Quran itu muncul pada hari Isnin dan Jumaat sebelum hilang dan digantikan dengan ayat baru.
Salah satu ayat itu bermaksud: "Allah ialah Pencipta segala yang ada.".
Apabila ayat suci seterusnya muncul, Ali tidak dapat tidur sepanjang malam dan mengalami demam dengan kepanasan badannya tidak dapat dikurangkan walaupun dengan menggunakan ubat-ubatan kuat.
Semasa dia dilahirkan, Ali didapati menghidap penyakit jantung dan berkaitan dengan otak tetapi dia sembuh sepenuhnya selepas ayat al-Quran mula muncul pada tubuhnya

5 Tips Untuk Menjadi Usahawan Internet Yang Produktif
Sebagai seorang usahawan internet sememangnya kita perlu merancang baik masa, aktiviti ebiz maupun personal dan projek-projek yang sedang dijalankan dengan sistematik. Oleh sebab itu saya sering mengingatkan diri supaya menjadi lebih peka terhadap masa dan peluang untuk mencapai matlamat. Di samping itu saya kongsikan 5 tips bagaimana kita boleh menjadi lebih produktif sepanjang bergelar usahawan internet ini supaya ia dapat memberi manfaat kepada semua newbie di luar sana. Tips tersebut adalah :
1. Mempunyai matlamat yang S.M.A.R.T.
Penting untuk kita mempunyai matlamat dalam hidup supaya bisnes kita laksanakan ini akan menjurus ke arah pencapaian matlamat dan gol yang kita sendiri tetapkan. Teknik penetapan matlamat secara S.M.A.R.T. saya sudah jelaskan dalam artikel yang lepas dan ia masih kekal relevan sebagai asas utama sesuatu produktiviti. Jika kita tiada matlamat yang jelas dan baik maka sukarlah untuk mencapai aras kejayaan yang diharapkan, oleh itu teknik S.M.A.R.T. mampu memberikan kesan yang positif terhadap personal life, kerja dan bisnes kita.
2. Senaraikan prioriti tugas dan kerja dengan sistematik
Dalam hidup kita ini terlalu banyak perkara yang difikirkan sehingga boleh menyebabkan kita kelam kabut jika tidak disusunatur dengan baik. Cuba anda listkan matlamat dan tugas yang perlu dilaksanakan secara sistematik terlebih dahulu. Semasa saya menghadiri training di Genting April 2009 lepas antara teknik yang boleh digunakan ialah mempraktikkan Task Priority. Ada 4 elemen utama di situ, dan kita gariskan yang mana teramat penting untuk dilakukan terlebih dahulu berbanding yang lain. Yang mana setiap project ada deadline, yang mana promosi ada ending-resultnya, yang mana ada urgent & important diberikan perhatian serius. Kena pandai mengurus task dan juga masa dengan bijaksana.
3. Monitor setiap aktiviti dan task dengan efisyen
Kenkadang setiap part kerja maupun task mengambil masa yang lama untuk diselesaikan. Oleh itu kita perlu memberi perhatian, mengawasi setiap proses dengan schedule yang baik. Misalnya proses web development, ambil masa 3 hari maksimum untuk design layout dan jangan lebih dari itu. Manakala proses upload/restore web dan database ke server dalam masa tidak lebih 1 hari dan begitulah setiap task dan aktiviti ada timeline yang efisyen serta belajar untuk mempercepatkan proses dari masa ke semasa. Jika boleh sub kerja atau outsource perlu dirancang teliti agar tidak menimbulkan apa-apa kesan negatif lain terhadap matlamat.
4. Bataskan aktiviti yang kurang produktif
Kebanyakan usahawan internet mungkin terlalu asyik berlebihan dengan sesuatu perkara mahupun lupa task yang telah ditetapkan. Oleh itu adalah penting untuk mengingatkan diri sendiri perkara 1 dan 2 di atas setiap masa. Kurangkan aktiviti yang tidak produktif seperti :
- Kurangkan YM, MSN, Mirc, Skype dan lelain tanpa tujuan khusus yang bermanfaat.
- Kurangkan masa menonton tv atau main game Playstation/PC Games
- Jangan terlalu asyik dgn facebook, myspace, friendster, twitter sehingga lupa task
- Check email dilimitkan 4 kali sehari iaitu pagi, tengah hari, petang dan malam.
- Kurangkan melepak dan membuang masa tanpa tujuan khusus yang bermanfaat.
5. Beri ganjaran kepada diri sendiri bila sesuatu matlamat hampir sampai
Setelah bersusah payah berhari-hari nak menyiapkan sesuatu projek maka beri rewards kepada diri sendiri sebagai stimulus peransang motivasi untuk lebih bersemangat. Misalnya website client hampir 90% dah siap maka kita boleh hadiahkan diri kita sendiri untuk makan yang sedap-sedap. Terpulang apa jenis rewards pun asalkan tidak melupakan task yang ditetapkan. Ia penting untuk meransang motivasi diri kita.

Ada 4 elemen utama di situ, dan kita gariskan yang mana teramat penting untuk dilakukan terlebih dahulu berbanding yang lain. Yang mana setiap project ada deadline, yang mana promosi ada ending-resultnya, yang mana ada urgent & important diberikan perhatian serius. Kena pandai mengurus task dan juga masa dengan bijaksana.
3. Monitor setiap aktiviti dan task dengan efisyen
Kenkadang setiap part kerja maupun task mengambil masa yang lama untuk diselesaikan. Oleh itu kita perlu memberi perhatian, mengawasi setiap proses dengan schedule yang baik. Misalnya proses web development, ambil masa 3 hari maksimum untuk design layout dan jangan lebih dari itu. Manakala proses upload/restore web dan database ke server dalam masa tidak lebih 1 hari dan begitulah setiap task dan aktiviti ada timeline yang efisyen serta belajar untuk mempercepatkan proses dari masa ke semasa. Jika boleh sub kerja atau outsource perlu dirancang teliti agar tidak menimbulkan apa-apa kesan negatif lain terhadap matlamat.
4. Bataskan aktiviti yang kurang produktif
Kebanyakan usahawan internet mungkin terlalu asyik berlebihan dengan sesuatu perkara mahupun lupa task yang telah ditetapkan. Oleh itu adalah penting untuk mengingatkan diri sendiri perkara 1 dan 2 di atas setiap masa. Kurangkan aktiviti yang tidak produktif seperti :
- Kurangkan YM, MSN, Mirc, Skype dan lelain tanpa tujuan khusus yang bermanfaat.
- Kurangkan masa menonton tv atau main game Playstation/PC Games
- Jangan terlalu asyik dgn facebook, myspace, friendster, twitter sehingga lupa task
- Check email dilimitkan 4 kali sehari iaitu pagi, tengah hari, petang dan malam.
- Kurangkan melepak dan membuang masa tanpa tujuan khusus yang bermanfaat.
5. Beri ganjaran kepada diri sendiri bila sesuatu matlamat hampir sampai
Setelah bersusah payah berhari-hari nak menyiapkan sesuatu projek maka beri rewards kepada diri sendiri sebagai stimulus peransang motivasi untuk lebih bersemangat. Misalnya website client hampir 90% dah siap maka kita boleh hadiahkan diri kita sendiri untuk makan yang sedap-sedap. Terpulang apa jenis rewards pun asalkan tidak melupakan task yang ditetapkan. Ia penting untuk meransang motivasi diri kita.

Kelebihan guna non standard template
Salam semua baiklah hari ini saya nak berceloteh sedikit tentang non standard template
seperti mana yang telah kita tau para blogger diberi pilihan menggunakan template
sama ada menggunakan yang standard ( template yang disediakan) atau menggunakan
template non standard (template selain dari yang disediakan)
Mari kita tinjau standard template :D
Cuma terdapat 16 template sahaja... hehehe gila aaah

10 dalil account adsense di banned
Assalamualaikum,
Hari ini rasa macam nak menulis sedikit mengenai Adsense. Artikel ini khas untuk newbie yang baru mula dengan Google adsense. Sesuai juga untuk adsense player jadikan sebagai revision di masa lapang. Berikut adalah 10 sebab kenapa akaun google adsense anda di banned.
1. Invalid Click/impression
Masalah ini berlaku disebabkan oleh 2 sebab iaitu, kita klik sendiri dan juga orang lain mengkhianati kita. Dalam kes yang pertama, ramai newbie beranggapan bahawa google tidak akan tahu yang dia klik sendiri untuk dapat earning.Ini merupakan tanggapan yang sama sekali SALAH. Malah ada yang sanggup pergi ke cyber cafe semata-mata untuk klik iklan adsense di site sendiri. Apabila kita klik sendiri, google akan melihat pattern cara klik itu diperolehi. Banyak faktor akan dilihat termasuk kekerapan klik itu berlaku, lokasi klik (IP and geolocation) dan sumber traffic.
Kalau klik diperolehi dari tempat yang sama, IP mungkin berbeza tapi geographic location lebih kurang sama, di tambah lagi dengan sumber traffic yang meragukan, potensi akan kena banned adalah tinggi.
Manakala untuk kes ke 2, klik yang didapati dari orang lain, termasuk klik boom pula adalah faktor diluar kawalan kita.
Untuk mengatasi masalah ini, dinasihatkan kita tidak reveal site kita yang mengandungi adsense kepada orang yang kita kurang percayai. Disamping itu, cuba active kan option "Only allow certain sites to show ads for my account". Setidaknya-tidaknya anda dapat mengawal ID adsense anda disalah guna.
2. Duplicate content
Ini memang masalah utama bagi kita. Saya sendiri kadang2 malas untuk membuat artikel sendiri, namun apabila memikirkan kemungkinan akaun akan kena banned, saya buatkan juga unique article.
Sekiranya google menerima aduan yang anda telah menyalin atau duplicate kandungan dari site asal, akaun adsense anda akan di banned.

Untuk mengatasi masalah ini anda ada 2 pilihan iaitu buat artikel sendiri atau guna tools untuk spin artikel lain. Masalah utama mengunakan automated tools dalam mengubah sesuatu content adalah, anda haruslah menyemak dahulu maksud perkataan yang ditukar agar maksud artikel tidak berubah. Anda boleh semak kandungan anda di http://copyscape.com untuk mengetahui yang anda mempunyai duplicate content atau tidak.
3. Mengubah adsense code.
Ini adalah pantang larang dalam adsense. Anda dinasihati agar tidak mengubah sama sekali adsense code tersebut.

4. Memaparkan hasil earning adsense
Berhati-hati semasa memaparkan hasil earning adsense anda untuk paparan umum. Walaupun motif kita kadang-kadang adalah untuk memberi motivasi kepada orang lain, namun beberapa maklumat dalam earning report yang kita boleh hide. Memadai sekiranya kita hanya memaparkan hasil earning daripada akaun adsense dan hide info untuk CTR dan ECPM.
5. Pornography aka lucah.
Tidak dibenarkan sama sekali memaparkan iklan adsense di site yang mengandungi ciri-ciri seperti :

6. Memaparkan iklan adsense di site yang bukan dalam bahasa English.
Walaupun kita kadang-kadang terjumpa ada iklan adsense di blog bahasa melayu, tetapi sekiranya kita rujuk di TOS, ya menyalahi peraturan Google Adsense.

7. Made for Adsense site.(MFA)
Untuk menjaga kepentingan advertiser dan kualiti site, google telah menetapkan beberapa kriteria yang dipanggil sebagai "Google's Landing Page Quality Guidelines"

Elakkan membuat site yang mengandungi 1 post/artikel untuk di combine dengan adsense ads. Risiko untuk di banned adalah tinggi kerana ia menyerupai sifat MFA. Buat artikel atau post yang berkualiti dan lebih dari satu. Malah dengan membuat lebih dari 1 post dan artikel, ia juga memberi benefit kepada anda dari segi SEO kerana anda mendominasi lebih dari satu keyword.
8. Membuka akaun adsense lebih dari satu.
Seperti orang lain, saya juga mempunyai lebih dari satu akaun untuk adsense. Kalau boleh kita jangan login dalam masa yang berdekatan dengan clear cookies setiap kali login. Walaubagaimanapun, untuk perkongsian bersama, ia tetap menyalahi TOS kerana mempunyai akaun lebih dari satu.
9. Privacy Policy
Bagi setiap site yang memaparkan iklan adsense, kita haruslah meletakkan privacy policy statement di site tersebut. Ini adalah peraturan asas. Kegagalan berbuat demikian akan menyebabkan akaun kita di banned.
10. Encouraging click.
Hati-hati semasa meletakkan iklan adsense kerana meletakkan adsense bersebelahan dengan image adalah dilarang sama sekali kerana ia dikelaskan sebagai Encouraging click.

ALOR STAR: ‘derma’ RM30, ‘pahala’ sehingga RM600,000!
Itulah janji manis skim cepat kaya baru yang dikesan aktif di negeri ini dengan cuba menutup muslihatnya di sebalik agama, kononnya berkonsep amal jariah sesama Islam dan sumbangan ummah.
Risalah mengenai skim tanpa nama dan siapa atau syarikat penciptanya itu kini diedarkan di tempat ibadah seperti di surau dan masjid, selain taman perumahan yang diketahui didiami ramai keluarga Islam terutama di luar bandar.
Pada lampiran pertama daripada lima muka surat yang tertera ‘Sudut Motivasi’ pengendali skim mendakwa program itu amalan tanpa wujud syak wasangka dan jika dijalankan secara ikhlas dengan menderma RM30 sekali seumur hidup akan menyebabkan saudara seagama ‘senang’.
Pengendali yang hanya menggelar dirinya ‘Motivator’ juga mendakwa program itu ‘perkongsian bijak’ yang sukar dibayangkan hasilnya dengan pelabur hanya perlu membuat salinan risalah berkenaan sebanyak mungkin dan mengedar di tempat strategik terutama di masjid dan surau.
Konsep skim itu juga cukup mudah dengan pada lampiran akhir risalah itu dilakarkan empat kotak dalam bentuk empat segi dengan kotak di atas kanan tertera ‘peserta terdahulu’ dan kiri pula ‘peserta giliran satu’.
Pada dua kotak di bawah pula tertera ‘peserta giliran dua’ di sebelah kiri dengan semua ketiga-tiga kotak berkenaan mempunyai ruangan untuk menulis nama, nama bank, jenis akaun dan nombor akaun individu tertentu.
Pada kotak terakhir bawah sebelah kanan pula dicatatkan penerangan mengenai kaedah skim itu berjalan, iaitu orang ramai yang berminat melabur perlu memasukkan RM30 ke nombor akaun peserta giliran satu.
Selepas itu pelabur diminta menganjakkan maklumat dalam kotak peserta giliran satu ke peserta terdahulu manakala maklumat sedia ada dalam kotak peserta terdahulu sebelum ini dikeluarkan.
Maklumat di kotak peserta giliran dua pula diisi maklumat pelabur terbaru dan mengikut perancangan skim berkenaan, mereka akan mula menerima habuan jika ada dua pelabur selepas mereka.
Risalah itu juga memaparkan pengakuan daripada beberapa individu termasuk kononnya mereka yang bergelar haji mendapati akaun banknya melonjak tanpa diketahui daripada mana sumbernya sebanyak RM600,000 hanya selepas membuat pelaburan RM30 setahun lalu.
Sementara itu, Presiden Persatuan Pengguna Kedah (Cake), Datuk Yusoff Ismail, berkata skim cepat kaya kini menggunakan pelbagai ‘wajah’ untuk menipu orang ramai.
Menurutnya, jika skim untuk membantu sesama ummah itu benar, mengapa mereka harus berselindung dan tidak mendaftar perniagaan sehingga tergamak melakukan sesuatu yang melanggar undang-undang negara.
“Sudah diketahui menjadi kesalahan jika mengutip dana kewangan daripada orang ramai tanpa kebenaran dan lesen Bank Negara Malaysia (BNM).
“Mungkin RM30 dilihat jumlah terlalu kecil, namun jika sejuta orang terpengaruh dengan skim ini, bukankah jumlahnya RM30 juta.
“Lagipun kita tidak tahu siapa sebenarnya peserta giliran satu dan dua ini. Adakah benar mereka pelabur baru atau hanya anggota sindiket ini,” katanya.
Yusoff berkata, Cake menerima banyak aduan mengenai skim cepat kaya walaupun kerajaan menjalankan pelbagai usaha menyedarkan rakyat mengenai penipuan skim seumpama itu.
“Yang terbaru kami menerima aduan daripada seorang individu yang melabur RM100 untuk mendapat keuntungan RM300 dalam masa seminggu, tetapi akhirnya tertipu,” katanya.

The Four Weeks To Freedom
Salam semua kepada para peminat blog ini. Baiklah kali ini saya berminat untuk mengulas sedikit berkenaan produk terbaru dari zamri nanyan
Diskusi audio diantara zamri dengan seorang otai IM iaitu Patrick Chan nama yang tidak asing lagi sehingga orang-orang dari seberang laut pon sangguh terbang kemari nak belajar dengan Patrick Chan nie
Disamping itu, disertakan juga transkrip untuk memudahkan para pendengan audio untuk mengulang balik point-point yang penting
Saya agak tertarik dengan apa yang didiskusikan oleh Patrick Chan dan Zamri. Diantaranya ialah berkenaan membina perniagaan internet vs membuat duit internet
Juga diselitkan tentang scam program seperti swisscash , autosurf , hyip , moneycycler dan lain-lain. hehehe teringat balik masa muda-muda dulu.
Selain dari itu, kuasa fokus juga perlu diambil kira contohnya jika kita buat PPC tiba ada newsletter dalam email yang bagi tahu tentang ebay... hehe kita pon mula terhengeh-hengeh nak buat ebay kuikuikui pastu kalau orang kata adsense dapat lumayan kita pon terhengeh-hengeh lagi nak wat adsense huhuhu last2 jadi macam kisah lebai malang sebab tamak apa pon tak dapat :) yer tak?
Disamping perancangan kerja yang sistematik juga dititik beratkan seperti short term income & long term income. Berapa peratus penumpuan yang perlu diberikan untuk setiap plan dan sebagainya
Cipta sistem perniagaan :) dan kembangkan.. langkah demi langkah perincikan
Ala mak panjangnya hehe penat dah nie menaip kuikui nak tau lanjut dapatkan lah tak rugi apa pon lagi pon percuma sahaja

Report: Michael Jackson dead at age 50
The King of Pop is dead.
The Los Angeles coroner Fred Corral has confirmed that Michael Jackson has died at the age of 50. According to Reuters, he said that Jackson was pronounced dead after arriving at the hospital in full cardiac arrest and that an autopsy would likely take place on Friday.
UPDATED 6:29 p.m.
TMZ reports that Jackson's sister, LaToya, "ran in the hospital sobbing after Jackson was pronounced dead."
UPDATED 6:16 p.m.
The Los Angeles Times reports that Jackson is in a coma dead, citing law enforcement sources.
"Pop star Michael Jackson was pronounced dead by doctors this afternoon after arriving at a hospital in a deep coma, city and law enforcement sources told The Times,” the newspaper reported on its website.

TMZ reports that the King of Pop, Michael Jackson, has passed away at the age of 50.

For those of you on Twitter, a colleague just pointed out that "Micheal" Jackson -- note the spelling -- is trending.

TMZ has posted a photo of paramedics unloading a stretcher from an ambulance, which one would assume is carrying Jackson.
According to a June 19 post on Reuters' Fan Fare blog, Jackson had been training for his upcoming series of concerts with former Incredible Hulk actor Lou Ferrigno.

Celebrity gossip website TMZ reports that singer Michael Jackson has been rushed to a Los Angeles-area hospital after suffering a cardiac arrest.
Paramedics arrived after a 911-call and were reportedly seen performing CPR on the 50-year-old singer. As well, one of Jackson's family members has told the site that Jackson is in "really bad shape."
According to the Los Angeles Times, Jackson was not breathing when paramedics arrived at his home.
E! Online reports that Jackson has been taken to the UCLA Medical Center. They also spoke to Jackson's father, Joe, who said: "His mother is on her way to the hospital now to check in on him...I am not sure what's wrong. I am waiting to hear back from them."
We'll post more information as it becomes available.
What this means for Jackson's eagerly anticipated summer concert series is unknown: Jackson had signed on to perform 50 concerts this summer at London, England's O2 Arena. The King of Pop is supposed to take the stage for the first performance on July 13. The concert series is dubbed This Is It.
For those of you who want more information on the various health problems Jackson has experienced over the years, there's an entry over on Wikipedia dedicated to just that -- and yes, it has already been updated with news of the cardiac arrest.

- Di dalam tutorial ini, saya akan tunjukkan cara bagaimana nak tengok statement pada sesuatu VCC.
- Step ni boleh dikatakan penting juga. Saya bagi satu situasi di mana anda create VCC khas untuk verify akaun Paypal. Lepas verify akaun Paypal, maka Paypal akan hantar 4 expuse number ke Credit Card / Debit Card / Virtual Credit Card Statement.
- Kalau kita pakai fizikal Credit Card / Debit Card , maka kita boleh dapatkan 4 digit expuse number tersebut di dalam bill statement kita dan ia mengambil masa sebulan. Lama kan?
- Jika pakai VCC, ia hanya mengambil masa 3-4 hari waktu bekerja je. Cepat kan?
- Jadi, belajar dan pahamkan caranya di bawah ni. Hehehehe... senang je!
Langkah 1.
- Login ke dalam akaun Entropay anda macam biasa.
- Click pada VCC yang anda create untuk verify akaun paypal anda tersebut.
Langkah 2.
- Anda akan dibawa ke page VCC anda. Click pada "View Statement".

- Sekarang terpapar segala statement aktiviti VCC anda. Disinilah anda boleh melihat 4 digit expuse number untuk Paypal dipaparkan.

Dalam tutorial kali ini saya akan berkongsi bagaimana cara untuk destroy VCC kita. Kadang-kadang ada VCC yang kita nak hapuskan. Ye la dah banyak sangat create VCC, naik serabut kat dasboard entropay tu. Huhuhuhu... So better destroy yang mana tak guna. Betul tak?

- Click kat tab "Account Setting".
- Kemudian click pada Destroy Card.
- Pada Step 1, Pilih VCC mana yang kamu nak destroy.
- Kemudian click next.
- Pada Langkah 3 ini, anda akan lihat berapa nilai yang masih ada dalam VCC tersebut. Segala nilai yang masih ada akan dikembalikan kepada Virtual Entropay Card Default.
- Kemudian click Submit.

- Di langkah ini, basically anda telah berjaya men"destroy"kan 1 VCC. Maka VCC yang telah dimusnahkan itu tidak boleh lagi digunakan.

Di dalam thread ini, saya sediakan tutorial bagaimana cara nak create Virtual Credit Card (VCC) dengan menggunakan Entropay.

Sekarang anda telah mempunyai 1 VCC baru. Jadi gunakan sebaiknya.
Jika anda tidak mahu gunakan lagi VCC tersebut, boleh guna fungsi "Destroy". Pada thread seterusnya saya akan buat satu tutorial bagaimana nak Destroy VCC yang tidak mahu digunakan lagi.

Langkah 1.
- Login ke akaun Entropay anda.
- Sekarang anda berada di page "Home" Entropay anda. Di sini ada dipaparkan entropay virtual card anda. Click "view" untuk melihat nilai semasa anda. Pastikan nilai tersebut cukup dengan nilai yang anda ingin create bagi VCC baru.
- Jika nilai entropay virtual card tersebut mencukupi, maka click di atas card tersebut.
- Pada stage ini, sila semak sekali lagi baki entropay virtual card anda.
- Jika mencukupi, click pada "Transfer Fund".
- Pada Langkah 3 di Step 1, sila pilih "New Entropay Virtual Card".
- Pada Step 2, setelah pilih "New Entropay Virtual Card", maka ia akan terus bertukar pada VCC baru.
- Pada Step 3, anda boleh mengetahui nilai semasa tukaran asing matawang antara RM dan USD.
- Pada Step 4, masukkan berapa nilai yang anda ingin load pada VCC baru anda. Sedikit tips di sini, jika anda ingin create VCC khas untuk digunakan untuk verify paypal, maka nilai sepatut yang diperlukan hanya $1.98, jadi load hanya $1.98 usd sahaja. Jadi menjimatkan duit anda jika anda reseller VCC untuk paypal!.
- Pada Step 5, anda boleh namakan VCC anda dengan apa juga nama yang anda inginkan. Bagi saya nama tidak penting, cuma untuk sistematikkan penamaan VCC sahaja.
- Kemudian click pada Next.
Langkah 4.
- Pada peringkat ini, anda boleh menyemak berapa Fee yang dikenakan ke atas VCC baru anda.
- Kemudian click pada Next.

- Pada peringkat ini, basically VCC baru anda telah siap dicreate.
- Segala maklumat VCC baru anda ada di page ini.
- Pada No 1, menunjukkan Nombor VCC anda.
- Pada No 2, menunjukkan security VCC (3 digit) anda.
- Pada No 3, menunjukkan expired date untuk VCC anda.
- Then bila sudah catit segala maklumat tersebut, click Account Home.
Sekarang anda telah mempunyai 1 VCC baru. Jadi gunakan sebaiknya.

Langkah pertama sebelum create VCC adalah memastikan bahawa ada "fund"/modal di dalam akaun virtual entropay anda. "Fund"/modal tersebut akan di load/diambil dari Funding Source anda (Funding source merujuk kepada debit card fizikal anda atau credit card fizikal anda). Saya sarankan anda menggunakan debit card visa Al-Rajhi ataupun debit card visa Public Bank. Kenapa debit card bukan credit card? Ini kerana memudahkan anda merancang perbelanjaan anda dengan baik. Dari fund itulah kita boleh create VCC.
Di bawah adalah langkah-langkah cara untuk load fund dari "funding source" anda.

- Kemudian click pada "Load Card".

- Anda akan diredirectkan ke page untuk memilih ke mana anda ingin fund tersebut dimasukkan. Pilih salah satu virtual entropay card/create virtual entropay card.
- Masukkan nilai berapa yang anda ingin load. Minima load adalah $20.00 usd pada setiap masa dan maksimum load adalah $2000 usd.
- Masukkan no security "Funding Source Card" (debit card fizikal/credit fizikal anda).
- Kemudian click pada Next.
Langkah 3.
- Pada page ini, anda akan diberitahu berapa fee yang dikenakan untuk proses "load fund" ini. Pada kebiasaannya, untuk nilai $20.00 usd, sebanyak $0.99 usd fee dikenakan.
- Kemudian click pada Next.
Langkah 4.
- Pada stage ini, basically anda telah berjaya load fund yang anda mahukan ke dalam virtual entropay card.
- Sila semak baki sebenar virtual entrypay anda.
- Click pada Account Home.
Semakan Nilai.
- Click pada "Home".
- Lihat pada virtual entropay anda (di mana card yang anda load fund tersebut).
- Click pada "view" untuk melihat nilai semasa anda.
- Kemudian ia akan menunjukkan nilai semasa $ yang ada di dalam virtual entropay anda.
Senang bukan? Langkah seterusnya pula, saya akan terangkan bagaimana cara untuk create Virtual Credit Card (VCC) anda sendiri!
